Shareholders who are at odds with one another is unfortunately something that happens all too often. Such disputes have far-reaching consequences for the company, the board and the shareholders themselves of course. Practice shows that it is often difficult to resolve such disputes within foreseeable time, because those involved are deadlocked. Nevertheless, there are various (statutory) options for terminating a shareholder dispute. However, it is more sensible to create good rules on the settlement of disputes and clear (exit) terms. They may help prevent a deadlock from occurring at all and to resolve disputes fast(er). As is the case in many situations, therefore, prevention is better than cure!
